Evers Legal Search has been exclusively engaged to recruit an Assistant General Counsel to fill a role with primary responsibility for government contracting. Very competitive compensation includes equity in this publicly traded company (NYSE: KN) that holds a market leading position in micro-acoustic microphones and other advanced technologies serving the medtech, defense, consumer electronics, electric vehicle, industrial and communications markets.

The position is located at Knowles headquarters in Itasca, IL. The office expectation is primarily on-site with some flexibility to work remotely as needed.

SPECIFIC DUTIES AND RESPONSIBILITIES:

 Counsel and advise on import/export laws and regulations. Develop, maintain and implement trade compliance policies, procedures and controls.
 Manage government outreach, including investigations, requests for information, and voluntary disclosures.
 Assist in design and implementation of company-wide compliance programs and initiatives, including policies and training.
 Review and investigate potential trade compliance violations and, as needed, advise on remediation efforts.
 Review, draft and negotiate a wide variety of commercial agreements, including nondisclosure agreements, master services agreements, statements of work, and supply agreements with customers, suppliers and external parties.
 Support the review, negotiation and documentation of government contracts and facilitate the understanding of, and where necessary, compliance with, applicable government contracting flow-down clauses and regulations.
 Provide legal advice and support for compliance with US Government industrial security regulations and related requirements.
 Provide support on anti-corruption/FCPA, general compliance and workplace investigations.
 Perform due diligence on potential acquisition targets and assist with integration of new acquisitions.
 Effectively manage outside counsel.
 Assist with objectives and initiatives within the Law Department.
 Perform other related duties as assigned.
 Travel, including internationally, as needed.

EDUCATION AND EXPERIENCE

 Juris Doctor (JD) degree from ABA-accredited law school.
 Licensed to practice law in at least one state and in good standing in all state bars where admitted. If not admitted in Illinois, must successfully apply for in-house counsel licensure with the State Bar of Illinois.
 10+ years’ experience in general commercial law and trade compliance, with an in-depth knowledge in the areas of export regulations and controls (including EAR and ITAR), restricted party screening, export licensing sanctions, classifications, and trade compliance procedures.
 Demonstrated experience drafting, reviewing and negotiating major government and commercial contracts in a multi-national corporation or global law firm (or a combination thereof). Experience at electronic component manufacturer and/or US defense contractor a plus.
 Knowledge of FAR, DFARS, US Government industrial security and related regulations. Familiarity with classified programs a plus.
 Ability to obtain and maintain a U.S. Government issued security clearance.
